Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cadento, the software and website provided by Cadento, LLC ("Cadento," "we," "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

The service

Cadento is software that helps you draft and send sales outreach from your own email account, using contacts and account context from systems you choose to connect. We may add, change, or remove features over time.

Accounts and eligibility

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your login secure, and for all activity under your account. You are responsible for the people you invite to your workspace.

Your data and connected accounts

You keep ownership of the data you upload and the accounts you connect (your email, your CRM, your prospect lists). You grant Cadento the permissions needed to operate the service for you, for example to draft outreach, to send it from your connected email account, and to update your records. You can disconnect any connected account at any time.

When you connect a Google or Microsoft account, your use of that connection is also subject to that provider's terms, and Cadento's handling of data from those providers is described in our Privacy Policy.

Acceptable use

You agree to use Cadento lawfully and responsibly. You will not use it to send unlawful, deceptive, harassing, or unsolicited bulk email in violation of applicable law. You are responsible for complying with all laws that apply to your outreach, including the CAN-SPAM Act and other anti-spam and privacy laws, for having a lawful basis to contact the people on your lists, and for honoring opt-out requests. You will not attempt to disrupt or reverse engineer the service, or use it to infringe others' rights.

Subscriptions, billing, and trials

Paid plans are billed in advance on a recurring basis through our payment processor. If your plan includes a free trial, you will not be charged until the trial ends, and you can cancel before then to avoid a charge. Subscriptions renew automatically until canceled. You can cancel at any time, effective at the end of the current billing period; fees already paid are non-refundable except where required by law. We may change pricing on a going-forward basis with notice.

Third-party services

Cadento relies on and integrates with third-party services (such as email providers, CRM systems, AI providers, and hosting and payment providers). We are not responsible for those third-party services, and your use of them may be subject to their own terms.

Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or that any outreach will achieve a particular result.

Limitation of liability

To the fullest extent permitted by law, Cadento will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim.

Indemnification

You agree to indemnify and hold Cadento harmless from claims arising out of your use of the service, your content, your outreach, or your violation of these Terms or applicable law.

Termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you violate these Terms or use the service in a way that creates risk or legal exposure. On termination, your right to use the service ends; sections that by their nature should survive will survive.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post the new effective date here and, where appropriate, notify you. Your continued use after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The state and federal courts located in Michigan will have exclusive jurisdiction over any dispute that is not otherwise resolved.
